TERMS OF SERVICE
1. PARTIES & ACCEPTANCE. These Terms of Service ("Terms") form a binding legal agreement between Garcia Multi-Services LLC, its owners, officers, employees, agents, affiliates, and successors (collectively, "Garcia," "we," "us," or "our") and the individual or entity signing below ("you" or "Client"). By signing electronically, you confirm you are at least 18 years old, of sound mind, and legally authorized to enter this agreement on your own behalf or on behalf of any entity you represent.
2. SCOPE OF SERVICES. Garcia provides tax preparation, bookkeeping, payroll support, business filings, notary, translation, immigration document assistance (non-legal), insurance referral, and related multi-services as separately engaged. The exact scope of any specific engagement is described in the Engagement & Service Agreement and/or invoice for that service. Nothing in these Terms creates an attorney–client relationship, a fiduciary duty, an investment-advisor relationship, or a guaranteed outcome of any kind.
3. CLIENT RESPONSIBILITIES. You agree to (a) provide true, complete, and timely information and documents; (b) promptly review drafts, returns, and filings before authorizing transmission; (c) retain copies of your records; (d) notify Garcia of any error, change, government notice, or audit within seven (7) days of receipt; and (e) not use Garcia services to commit fraud, tax evasion, identity misuse, money laundering, or any unlawful act. You acknowledge that Garcia relies entirely on the information you provide and is not responsible for verifying its accuracy.
4. FEES, BILLING & NON-REFUNDABLE WORK. Fees are due when services are rendered unless a written installment arrangement is signed. Bank-product, e-file, software, processing, and third-party fees are non-refundable once work has begun. Disputed charges must be raised in writing within thirty (30) days; charges not disputed within that period are deemed accepted. Returned-payment, chargeback, and collection costs (including reasonable attorney fees) are your responsibility.
5. ELECTRONIC RECORDS & E-SIGNATURE (ESIGN / UETA). You consent to receive and sign documents electronically. Your typed name, drawn signature, click-to-accept, and any signature captured through this platform are valid electronic signatures with the same legal force as a handwritten signature under the federal Electronic Signatures in Global and National Commerce Act (15 U.S.C. § 7001) and applicable state Uniform Electronic Transactions Acts. Garcia stores the signed document, signer name, IP-related metadata, browser/user-agent string, timestamp, and policy version as the official record.
6. CONFIDENTIALITY & USE OF DATA. Garcia will not sell your personal information. Tax-return information will be used and disclosed only as authorized by you in writing and as permitted by 26 U.S.C. § 7216 and 26 C.F.R. § 301.7216. Anonymized, aggregated data may be used to improve services. Authorized staff may access your file solely for legitimate work assignments.
7. THIRD-PARTY & GOVERNMENT INTERACTIONS. Garcia may transmit your information to the IRS, state agencies, financial institutions, bank-product providers, software vendors, and similar third parties strictly to perform the service you requested. Garcia is not responsible for delays, rejections, audits, examinations, or actions of any government agency or third party.
8. NO GUARANTEE OF OUTCOME. Refund amounts, processing times, eligibility for credits, approval of filings, and tax liability are determined by government agencies and applicable law — not by Garcia. Estimates, projections, and prior-year results are not promises of future results.
9. LIMITATION OF LIABILITY. To the maximum extent permitted by law, Garcia's total cumulative liability for any claim arising out of or related to the services, this agreement, or your use of the platform — whether in contract, tort, statute, or otherwise — shall not exceed the fees actually paid to Garcia for the specific service giving rise to the claim during the twelve (12) months immediately preceding the event. Garcia is not liable for indirect, incidental, consequential, special, exemplary, or punitive damages, lost profits, lost data, IRS penalties or interest you would otherwise have owed, or losses caused by inaccurate information you provided.
10. INDEMNIFICATION. You agree to defend, indemnify, and hold harmless Garcia and its owners, employees, and affiliates from any claim, loss, penalty, or expense (including reasonable attorney fees) arising from (a) information you provided that was false, incomplete, or misleading; (b) your misuse of the services; or (c) your violation of these Terms or any law.
11. TERMINATION. Either party may terminate any engagement in writing. Garcia may suspend or terminate service immediately for non-payment, suspected fraud, abusive conduct, or risk to staff. Termination does not relieve you of fees owed for work already performed.
12. DISPUTE RESOLUTION; ARBITRATION; CLASS-ACTION WAIVER. Any dispute that cannot be resolved informally within thirty (30) days shall be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, seated in the county of Garcia's principal place of business. YOU AND GARCIA EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. Small-claims actions and equitable relief to protect confidential information or intellectual property are excluded from arbitration.
13. GOVERNING LAW & VENUE. These Terms are governed by the laws of the state where Garcia's principal office is located, excluding its conflict-of-law rules. Exclusive venue for any non-arbitrable matter is the state or federal courts located in that county.
14. ENTIRE AGREEMENT; SEVERABILITY; ASSIGNMENT; SURVIVAL. These Terms, together with any signed engagement letter, privacy notice, and invoice, are the entire agreement and supersede prior discussions. If any provision is held unenforceable, the remainder remains in effect. You may not assign this agreement without Garcia's written consent. Sections 4, 5, 6, 8, 9, 10, 12, 13, and 14 survive termination.
By signing, you confirm you have read, understood, and agree to these Terms in full.
